Practice

Taha works on the regulatory and corporate side of fintech, from the first map of what applies to a product through to the framework a licensed business runs on. He leads the mapping, structuring and compliance design on the matters he handles, and clients deal with him directly on the detail.

Licensing

Licensing and Approvals

Mapping the requirements, shaping the structure and carrying the application through to approval and launch.

  • Non-Banking Finance Company (NBFC) Licences and Digital Lending Approvals
  • Electronic Money Institution (EMI) Authorisations
  • Virtual Asset Applications and NOCs
  • Microfinance Bank Licensing
  • Fit and Proper Filings and Sponsor Assessment
  • Regulator Queries and Clarifications
Operations

Compliance and Operating Frameworks

The working framework a licensed business runs on once approval is in hand.

  • Reporting Calendars and Regulatory Returns
  • Approval Gates for Change and Launch
  • AML and CFT Programmes
  • Board Governance and Risk Policies
  • Customer Disclosure and Grievance Standards
  • Regulator Engagement Protocols
Deals and Technology

Transactions and Cross-Border Structuring

The group structures, funding arrangements and technology relationships a fintech business depends on.

  • Foreign Group Entry and Local Structuring
  • Intercompany Funding and Foreign Exchange Approvals
  • Shareholder and Investment Arrangements
  • Mergers, Share Sales and Joint Ventures
  • Technology Licensing and Outsourcing
  • Partner, Processor and Platform Arrangements
Products

Lending and Payments

Digital lending, buy now pay later, earned wage access, wallets and merchant payments. Each product is checked against the rules that apply to it, and the customer journey, disclosures and partner arrangements are shaped to fit. Taha works across the regulators that govern fintech in Pakistan: the SECP for non-banking finance companies, the State Bank for electronic money, payments and microfinance banks, and PVARA for virtual assets.

Digital Assets

Virtual Asset Businesses

Licensing and No Objection Certificate applications for virtual asset businesses, together with the AML, custody and settlement questions that come with them. Taha builds the structure and the operating framework side by side, so the business is ready to run on the day the licence is granted.

Advice is given against the rules in force at the time, and the framework continues to develop.

Method

From Mapping to Operation

Every mandate follows the same five steps. Each one builds on the last, so the client always knows where the matter stands and what comes next.

Mapping the Requirements

Every product touches more than one rule. Taha works out which regulator and framework applies to each function the product performs, and gives the client a complete requirements map before anything is filed or signed.

Assessing the Client

Sponsors, shareholding, capital, group structure, systems, policies and people are measured against what the regulator will ask. The result is a clear picture of the client’s position and a practical order of work.

Shaping the Structure

He helps settle which entity does what, what stays offshore, what needs a local licence or partner, and how money, data and technology move between them.

Building the Compliance Framework

Business plans, AML and CFT programmes, risk and credit policies, governance charters, partner contracts and the licence application are built as one framework around the structure.

Carrying It Through

He stays with the matter through regulator queries, approval and launch, and builds the operating framework that follows, so the client moves from licence to daily operation without a pause.

Operations

Operating Under the Licence

Every licence comes with a working framework behind it. Taha builds it with the client: how the business reports, approves change, governs itself and works with its regulator. The same four components are used for every licence and tailored to the regulator. Choose a licence to see them.

NBFC Licence

Securities and Exchange Commission of Pakistan.

  1. Reporting CalendarOne calendar of SECP returns, credit bureau submissions and Financial Monitoring Unit reports, each with a named owner.Digital lending data flows set up so bureau reporting happens as a matter of course.Board and management reporting lined up with the regulatory cycle.
  2. Approval GatesBoard and leadership changes taken through the SECP's fit and proper process.Lending apps taken through whitelisting ahead of launch.New products and partnerships tested against the licence at the design stage.
  3. Governance FrameworkBoard-approved credit and risk policies that mirror the regulatory framework.AML controls covering customer identification and ongoing monitoring.Borrower disclosure standards, including a clear factsheet of terms, pricing and obligations.
  4. Regulator EngagementEarly, documented dialogue with the SECP on queries and new products.A response protocol with evidence prepared in advance.Familiarity with the Commission's hearing and appeal routes as part of the framework.

Advice is given against the rules in force at the time, and the frameworks continue to develop.

Beyond Fintech

Employment, Immigration and Communications Law

Alongside his fintech work, Taha acts in employment matters and advises on immigration matters for individuals, employers and families and on United States rules on intercepting and tracing communications. The approach is the same as in fintech: set out what applies, assess the position clearly, and carry the matter through to its outcome.

Employment

Unfair Dismissal and Workplace Disputes

Advising employees and employers on terminations and the disputes that follow, in Pakistan and before the UK Employment Tribunal, with the facts, procedure and likely outcome set out from the start.

  • Unfair Dismissal Claims and Defences
  • Termination Process and Exit Terms
  • Labour Complaints and Tribunal Proceedings
  • Legal Notices and Replies
  • Settlement and Negotiated Exits
Immigration

Entry Clearance and Immigration Appeals

Preparing entry clearance and leave applications on a sound evidential footing and, where one is refused, assessing the decision and taking the strongest route to challenge it, from appeal grounds and review options to pre-action correspondence.

  • Entry Clearance and Leave Strategy
  • Refusal Analysis and Appeal Routes
  • Evidence and Narrative Statements
  • Pre-Action and Judicial Review Correspondence
  • Visit and Short-Stay Entry Clearance
  • Fresh Application Strategy After Refusal
United States

Interception and Trap and Trace Law

Advice on the United States rules on intercepting communications and on trap and trace orders: what each order permits, how a provider or business responds, and the grounds on which an order is tested, with the Pakistan position set alongside where a matter crosses borders.

  • Wiretap and Interception Orders
  • Trap and Trace Orders
  • Provider Assistance and Response Protocols
  • Consent and Business-Use Exceptions
  • Challenge Grounds and Suppression Analysis
  • Cross-Border Requests and Data Location

UK and US Procedure

Appeals and Procedure

These routes describe how each procedure runs under UK or US law, from first assessment to outcome. Choose a route to see its steps.

Unfair Dismissal Claim

Employment Tribunal, under UK employment law.

  1. PositionEmployment status, length of service and the reason given for the dismissal
  2. ProcessHow the employer ran the dismissal: investigation, hearing, evidence and consistency
  3. Internal AppealThe employer’s own appeal, used where it strengthens the position
  4. Early ConciliationAcas conciliation first, which also protects the timing of the claim
  5. ClaimClaim form to the Employment Tribunal with the grounds set out
  6. DirectionsThe employer’s response, then case management, disclosure and witness statements, with settlement open throughout
  7. Hearing and RemedyThe tribunal decides fairness, then reinstatement, re-engagement or compensation

Advice is given against the rules in force at the time, and UK employment law is changing in stages.
