How SSA Supports the Mandate
From Regulatory Strategy to Implementation.
Our role is to turn the proposed business or transaction into the applications, documents, structures and operating arrangements required to move it forward.
The precise workstream is tailored to the product, licence category, ownership structure and stage of the business. Where a mandate also requires cross-border, technology, transactional or continuing compliance support, those elements are integrated into the engagement.
Market Entry & Entity Structuring
We advise on the appropriate Pakistan entry structure, including subsidiaries, regulated entities, joint ventures and contractual models. Ownership, governance, local substance, sector-specific licensing and the allocation of functions between the Pakistan entity and overseas group are considered together.
Foreign Investment & Capital
SSA advises on bringing foreign capital into Pakistan, foreign shareholding and shareholder arrangements, capital contributions and the supporting corporate and banking documentation. For regulated businesses, the investment structure is aligned with ownership, control and fit-and-proper requirements from the outset.
Foreign Exchange & Authorised Dealer Process
We map proposed payments and receipts against the SBP Foreign Exchange Manual and the practical requirements of Authorised Dealers. This includes inward and outward remittances, commercial payments, foreign borrowing, securities-related flows and the documentary trail required for the relevant banking route.
Intercompany Services, Technology & IP
We prepare and review intercompany service, technology, software, IP, management and support arrangements so that the contracts reflect the functions actually performed across the group. The payment mechanism, regulatory allocation of responsibility and foreign-exchange treatment are considered alongside the agreement itself.
Repatriation, Returns & Cross-Border Financing
We advise on dividends, service and technology fees, royalties, financing returns, shareholder or intercompany funding and exit proceeds. The objective is to establish at the structuring stage how value is expected to move into and out of Pakistan and what corporate, banking or regulatory steps support that movement.
Regulated Fintech Group Structures
Where the Pakistan business is an EMI, NBFC, VASP or other regulated financial-services entity, we identify which functions can sit with overseas affiliates and which need to remain within the locally regulated entity. Technology, compliance, customer operations, treasury, product development and outsourcing are then documented around that regulatory allocation.
