How SSA Supports the Mandate
From Regulatory Strategy to Implementation.
Our role is to turn the proposed business or transaction into the applications, documents, structures and operating arrangements required to move it forward.
The precise workstream is tailored to the product, licence category, ownership structure and stage of the business. Where a mandate also requires cross-border, technology, transactional or continuing compliance support, those elements are integrated into the engagement.
Term Sheets & Transaction Structure
We advise on valuation and investment mechanics, equity and preference structures, liquidation preference, anti-dilution, reserved matters, board rights, founder arrangements, conditions precedent and exit rights. The objective is to identify the consequences of the commercial terms before they become embedded in definitive documentation.
Subscription, Share Purchase & Investment Agreements
SSA prepares and negotiates subscription agreements, share purchase agreements and other investment instruments, including representations and warranties, conditions precedent, completion mechanics, covenants, indemnity structures and the documents required to implement the investment.
Shareholders Agreements & Governance
We document the post-investment relationship through shareholders agreements and constitutional changes covering board composition, reserved matters, information rights, pre-emption, transfer restrictions, tag and drag rights, founder commitments, vesting and other governance protections.
Cross-Border & Regulated Investments
For overseas investors and regulated targets, we address foreign ownership, remittance and capital mechanics, exchange-control considerations and any sector-specific approval or notification. Investments into NBFCs, EMIs, payment businesses and VASPs are assessed against the ownership, control and fit-and-proper framework applicable to the target.
Venture Debt & Structured Capital
Where the funding is not straightforward equity, we advise on venture debt, shareholder or investor financing, conversion mechanics, security, repayment, covenants and intercreditor issues. The instrument is structured around both the company's capital needs and the legal mechanics required to implement the funding.
Closing, Secondary Sales & Exits
We manage the corporate approvals, conditions precedent and closing deliverables required to complete the transaction. We also advise on secondary transfers, founder or investor liquidity, strategic exits and the shareholder-consent, transfer-restriction and regulatory mechanics that apply to the proposed exit.
